Minnesota requires every limited partnership or LLP registered in the state to file an annual renewal with the Minnesota Secretary of State by December 31 each year. There is no fee when filed on time. Miss it and the result is administrative dissolution; $25 to reinstate. A company registered in more than one state files this in each of them. A general partnership that never registered with the state files no annual report in most states; the line is for limited partnerships and LLPs.
