FinCEN permanently exempts US formed companies from beneficial ownership reporting

A final rule from the Financial Crimes Enforcement Network, effective August 14, 2026, makes permanent the March 2025 exemption of domestic companies from the Corporate Transparency Act's beneficial ownership reporting. Corporations, LLCs and other entities formed by a filing with a US state no longer file a BOI report, and FinCEN is deleting the reports US companies filed earlier. Companies formed under foreign law and registered in a US state still report their non US owners. The federal rule does not displace state rules such as New York's LLC Transparency Act.

What to do

Nothing to file. If a service provider is still charging you to prepare a federal BOI report, cancel it.
